Terms of Service

Please read these terms carefully before using Said-itt. By creating an account or using our service, you agree to be bound by them.

1. Acceptance of Terms

These Terms of Service (“Terms”) form a legally binding agreement between [LEGAL ENTITY NAME](“Said-itt”, “we”, “us”, or “our”) and you, the restaurant owner or authorised representative (“Subscriber”, “you”, or “your”).

By registering for an account, completing payment, or using any part of the Said-itt platform, you confirm that you have read, understood, and agreed to these Terms and our Privacy Policy. If you do not agree, do not use the service.

We reserve the right to update these Terms at any time. Material changes will be communicated by email to the registered address. Continued use of the service after notice constitutes acceptance.

2. Description of Service

Said-itt provides a software-as-a-service platform that enables restaurants and food businesses (“Subscribers”) to:

  • Collect guest feedback via QR codes displayed at tables or point-of-sale locations
  • Offer and manage a loyalty rewards programme for returning guests
  • Communicate directly with guests who have opted in
  • View analytics and feedback patterns through a web-based dashboard
  • Manage multiple branch locations under a single account

Said-itt is a tool for restaurant operators. We are not a restaurant, a food business, a loyalty programme operator, or a data processor for any purpose beyond delivering the service described here.

We may add, modify, or discontinue features at any time. Where changes materially reduce the service, we will provide reasonable notice.

3. Account Registration

To use Said-itt you must create an account using a valid business email address. You agree to:

  • Provide accurate and complete registration information
  • Keep your login credentials confidential
  • Notify us immediately if you suspect unauthorised access to your account
  • Accept responsibility for all activity that occurs under your account

Accounts are for legal businesses only. You represent that you are authorised to bind the business entity you are registering on behalf of. You must be at least 18 years old.

We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or are inactive for an extended period.

4. Subscription and Payment

Plans and Pricing

Said-itt offers a free Starter tier and a paid Member plan at ₹499 per location per month (prices inclusive of applicable taxes, or exclusive — [CONFIRM TAX TREATMENT WITH ACCOUNTANT]). Pricing may change with 30 days’ prior notice.

Billing

Subscriptions are billed monthly in advance. Payment is processed by Razorpay (a third-party payment gateway). By subscribing you authorise recurring charges to your chosen payment method. Said-itt does not store card numbers or bank credentials — all payment data is handled by Razorpay under their own terms and security standards.

Failed Payments

If a payment fails, we will retry and notify you by email. Continued failure may result in service suspension. Access is restored upon successful payment of any outstanding balance.

Taxes

You are responsible for any applicable taxes, levies, or duties on your subscription in addition to our listed price, unless otherwise stated. [GSTIN: CONFIRM GST APPLICABILITY AND INVOICE FORMAT WITH ACCOUNTANT]

5. Your Guests

When guests interact with Said-itt QR codes or feedback forms, they are interacting with infrastructure operated by us but configured by you. You are responsible for:

  • Displaying the QR code and feedback mechanism in a manner that does not mislead guests about how their data will be used
  • Ensuring any communications you send through the platform's direct messaging feature comply with applicable laws including anti-spam and consent requirements
  • Not using guest data (accessible in your dashboard) for any purpose outside of improving your relationship with that guest and delivering rewards they were offered
  • Ensuring rewards you create are genuine and honoured at your establishment

Guest phone numbers and feedback are shared with you as part of the service. You must treat this data with appropriate confidentiality and must not share, sell, or otherwise transfer it to third parties.

6. Acceptable Use

You must not use Said-itt to:

  • Transmit spam, unsolicited messages, or commercial communications to guests who have not consented
  • Collect feedback fraudulently, including incentivising guests to leave false positive reviews for third-party platforms
  • Violate any applicable law or regulation, including data protection, consumer protection, or anti-spam laws
  • Attempt to reverse-engineer, copy, or create derivative works of the platform
  • Use the service in a way that could damage, disable, or impair Said-itt's infrastructure
  • Resell or sublicense access to the platform
  • Upload content that is defamatory, obscene, or infringes a third party's intellectual property

Violation of this section may result in immediate termination without refund.

7. Intellectual Property

Said-itt and its underlying technology, design, trademarks, and content are owned by [LEGAL ENTITY NAME] and protected under applicable law. Nothing in these Terms transfers any intellectual property rights to you.

You retain ownership of your business name, logo, and content you upload to the platform. You grant us a limited licence to use that content solely to operate and improve the service.

Feedback and suggestions you provide about the platform may be used by us without obligation or compensation.

8. Data and Privacy

Our collection and use of personal data is described in our Privacy Policy, which forms part of these Terms. By using Said-itt you consent to the practices described there.

You are a data fiduciary in relation to your guests’ personal data that you access through the platform. Said-itt acts as a data processor on your behalf for that data. Both parties must comply with applicable data protection law, including the Digital Personal Data Protection Act, 2023 (“DPDP Act”).

9. Disclaimers

Said-itt is provided “as is” and “as available” without warranties of any kind, express or implied. We do not warrant that the service will be uninterrupted, error-free, or free of harmful components.

We make no representations about the accuracy of analytics or the results you will achieve from using the platform. Improvement in your business outcomes is not guaranteed.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Said-itt shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business arising from your use of or inability to use the service.

Our total aggregate liability for any claim arising from these Terms or your use of the service shall not exceed the amount you paid us in the three months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Said-itt, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your use of the service; (b) your violation of these Terms; or (c) your violation of any third-party right, including any data protection or intellectual property right.

12. Termination

By You

You may cancel your subscription at any time through your account dashboard. See our Refund & Cancellation Policy for details of what happens to your access and data after cancellation.

By Us

We may suspend or terminate your account immediately if you breach these Terms, fail to pay fees when due, or if we are required to do so by law. We may also terminate with 30 days’ notice for any other reason, in which case we will provide a pro-rated refund for any prepaid period.

Effect of Termination

Upon termination, your access to the platform ceases. We will retain your data for a limited period as described in the Privacy Policy before deletion. Sections 7, 9, 10, 11, and 14 survive termination.

13. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of [GOVERNING LAW JURISDICTION — e.g. India], without regard to conflict-of-law principles.
